ARTICLE 1: PURPOSE AND NAME
SECTION 1.
The name of this shall be “ Sundance water Sports Club”. Here in noted as “SWSC” AND D.B.A. “Sundance tournament ski club” here in noted as “STSC”
SECTION 2.
The purpose of the sundance waters ports club (“SWSC”) is to promote the sport of water skiing, wake boarding and other related activities involving activities which the participant is being pulled through the means of a power boat through group participation, sponsoring exhibitions, shows, tournaments, and associated recreational activities for the mutual benefit of the members. To develop and maintain facilities for water skiing, wake boarding and other related activities involving activities which the participant is being pulled through the means of a power boat To stimulate interest in the above mentioned water sports among non- enthusiast's in the community. to work for greater safety in the above mentioned water sports and any other lawful activity, non of which is for profit. it is established as a nonprofit organization.
ARTICLE 2 : REGULAR MEMBERSHIP “SWSC”
SECTION 1.
Membership in the “SWSC” shall be open to all individuals regardless of race, color or religion, who are interested in water skiing, wake boarding and other related activities involving activities which the participant is being pulled through the means of a power boat per the “SWSC” purpose.
SECTION 2.
The membership application, in its approved form, shall contain an agreement to abide by the By-Laws of the “SWSC”.
SECTION 3.
Membership in this “SWSC” may be terminated for nonpayment of dues, disrespect for the sport and/ or any other act which would cause disrespect for the “SWSC”; by action of the board of directors. Termination of the membership of any member shall not release the said member from the obligation to pay all dues owed to the end of the period of the membership. Membership may also be terminated for any reason by consensus of all the members of the “SWSC”.
SECTION 4.
Benefits of “SWSC” membership shall be: access to all “SWSC” facilities and equipment, “SWSC” discounts, participation in all “SWSC” activities, and voting rights, (one vote per membership), as well access to a “SWSC” roster of all members, for the sole purpose of creating amicable social outings amongst the “SWSC” members for the use of the facilities and equipment in group settings. “SWSC” members are not to use the roster for political, personal or commercial solicitation purpose’s out side of immediate and or pertinent “SWSC” needs.
ARTICLE 3 TOURNAMENT MEMBERSHIP “STSC”
SECTION 1.
Membership in the “STSC” shall be open to all individuals regardless of race, color or religion, who are interested in tournament events.
SECTION 2.
The membership application, in its approved form, shall contain an agreement to abide by the By-Laws of the “SWSC”.
SECTION 3.
Membership in this “STSC” may be terminated for nonpayment of dues, disrespect for the sport and/ or any other act which would cause disrespect for the club; by action of the board of directors. Termination of the membership of any member shall not release the said member from the obligation to pay all dues owed to the end of the period of the membership. Membership may also be terminated for any reason by consensus of all the members of the club.
SECTION 4.
Membership for Tournament, Private lake functions and other “SWSC” organized events shall be sold separately at each of the scheduled Tournament, Private lake functions and other “SWSC” organized events, and shall valid only for that specific event / weekend or other time frame specified for said event.
SECTION 5.
Benefits of the Tournament, Private lake functions and other “SWSC” organized events shall be participation in tournament/ practice and associated activities for that specific event.
ARTICLE 4 : MANAGEMENT
SECTION 1.
The management of the “SWSC” shall be vested in the board of directors.
ARTICLE 5: BOARD OF DIRECTORS
SECTION 1.
The board of directors shall consist of the President, vice-president, secretary, treasurer and communication's officer.
SECTION 2.
The President of the “SWSC” shall be a permanent position for the purpose’s of annual tax and business filings as well as the registered agent. The office of vice-president, secretary and treasurer shall hold office for one year or until their successors are duly elected and qualified. Three members of the board of directors shall constitute a quorum at any meeting of the board of directors.
SECTION 3.
The board of directors may employ whatever personnel they deem necessary and for which funds are available, to aid in the management of the “SWSC”.
SECTION 4.
Regular meetings of the board of directors shall be held annually at a time and place designated by the vice-president.
SECTION 5.
Special meetings of the board of directors may be called by the president or Vice president, notice of which shall be given in sufficient time to permit members to be present.
ARTICLE 6: OFFICERS
SECTION 1.
The annual elective officers of the “SWSC” shall be Vice-president, Secretary , Treasurer and Communication's officer.
SECTION 2.
The elective officers shall be elected by the “SWSC” members at an annual meeting of “SWSC” members. The elective officers of vice-president, secretary, treasurer and communication's officer, shall hold office for one year or until their successors are duly elected and qualified.
SECTION 3.
The President of the “SWSC” shall be Russ J Brewer, as permanent position for the purpose’s of submitting and signing Quarterly and annual tax and business filings as well as the hold the title of “SWSC” registered agent. This Position Shall be considered a permanent position but the officer whom hold the position of president my be replaced by a majority vote of “SWSC” members should the position become vacant, or the person named as president wishes abdicate his position, or if justifiable cause is due for removal due to action's unbecoming of club president.
SECTION 4.
The Vice President shall preside at all meetings of the “SWSC” and of its board of directors, shall appoint all committees and shall carry on the over sight day to day activities of the “SWSC” and those other responsibilities assigned to him/her by these By-Laws and by the board of directors.
SECTION 5.
During the absence or temporary incapacity of the Vice-president the President shall perform the duties and powers of the Vice-president.
SECTION 6.
The treasurer shall keep all the records and accounts of the “SWSC” and have charge of its funds. He/she shall keep all funds in a bank approved by the board of directors and in the name of the “Sundance Tournament Ski Club”. Subject to withdraw by checks signed by the treasurer and or the President of the board including electronic transactions, signed in such a manner as may from time to time by approved by the board of directors. He/she shall disburse the funds of the club under the direction of the board of directors. He/she shall be responsible to present all accounting records to a “SWSC” designated tax preparer per Article 5 section 3 for the purpose of submitting quarterly and annual tax filings.
SECTION 7.
The secretary shall be responsible for the minutes of all meetings of the general membership and of the board of the directors, as well as the attendance, mailings and correspondence of all club minutes and business matters to the “SWSC” members. He/She shall prepare and distribute an annual club roster of members to the “SWSC” members.
SECTION 8.
The communication's officer shall be responsible for for all internet correspondence, web page management and printed advertisements.
These duties shall include the printing and distribution of tournament posters, reply’s to online inquires from the “SWSC” web page. Duties shall also include the design, production and implementation of the “SWSC” web page, solely or with the aid of an approved “SWSC” web designer per Article 5 section 3.
ARTICLE 7: FISCAL YEAR
Section 1.
The fiscal year of the club shall commence on the first day of January and end the thirty first day of December.
ARTICLE 8: BUDGET
SECTION 1.
The treasurer shall prepare an annual report to submit to the members at their annual meeting for review.
Together the board of directors shall prepare and submit to the members at their annual meeting a proposed budget of expenditures covering the total anticipated expenditures for the new fiscal year. this budget shall be considered and approved with or without revisions. It may be reviewed and is subject to revision at any regular meeting of members thereafter. The board of directors or any person designated by the board of directors to act on the “SWSC” behalf, shall not obligate the “SWSC” in excess of the approved budget or otherwise than according to the approved and or amended budget.
ARTICLE 9: DUES
SECTION 1.
The dues of each regular member of the club shall be determined at each annual meeting, payable at the beginning of the fiscal year.
SECTION 2.
The dues of each member for each Tournament , Private lake functions and other “SWSC” organized events shall be determined at each annual meeting, payable prior to participation in each Tournament , Private lake functions and other “SWSC” organized events.
ARTICLE 10: MEETINGS
SECTION 1.
The annual meeting of the members of the club shall be held during the first week in November.
SECTION 2.
Written notices of the place, day and time of the annual and of all regular meetings of the members shall be prepared and distributed to the membership by the secretary.
SECTION 3.
Special meetings of members of the “SWSC” may be called by the President or Vice-President.
SECTION 4.
Members will reach a consensus to make club decisions. Any action taken at a regular or special meeting shall require a consensus survey of those present.
ARTICLE 11: EQUIPMENT
SECTION 1.
The “SWSC” shall be responsible for all commonly used facilities, including “SWSC” courses, docks, boats and misc. related equipment.
SECTION 2.
Regular members shall have access to all club facilities and equipment.
ARTICLE 12: AMENDMENTS
SECTION 1.
These By-Laws may be amended at any meeting of the club by consensus survey of the members attending such meeting, providing a notice of such proposed amendments have been made available to each member.
The annual elective officers of the “SWSC” for the culmination of 2013 shall be:
